Terms of Service

These Terms of Service (the “Terms”) are a binding agreement between you and the operator of ArchiveScanner(“ArchiveScanner,” “we,” “us,” or “our”) governing your access to and use of the ArchiveScannerwebsite, alert services, and related offerings (collectively, the “Service”). By creating an account, purchasing a subscription, or otherwise using the Service, you accept these Terms. If you do not accept these Terms, you must not use the Service.

The Service monitors publicly available listings on third-party marketplaces, including Yahoo! JAPAN Auctions, Mercari, and Rakuma, and provides search tools, notifications, and related informational features concerning those listings. The Service aggregates and presents information. It does not sell goods, hold inventory, process marketplace transactions, or act as a marketplace, broker, importer, customs agent, or purchasing agent of any kind.

You must be at least eighteen (18) years of age and capable of forming a binding contract in your jurisdiction to use the Service. By using the Service, you represent and warrant that you meet these requirements.

Authentication is provided through Whop. You are responsible for safeguarding your account credentials and for all activity occurring under your account. Accounts are personal to you. You must not share, sell, sublicense, or transfer your account or the alerts, data, or content delivered through it. You must notify us promptly of any unauthorized use of your account.

Paid subscriptions are billed in advance on a recurring basis through Whop, our third-party payment platform. Your payment information is collected and processed by Whop and its payment processors; we do not receive or store your full payment card details. Subscriptions renew automatically at the end of each billing period until cancelled. You may cancel at any time through your account or the Whop billing portal, and cancellation takes effect at the end of the then-current billing period. We may change subscription pricing on notice to you; price changes apply from your next renewal.

Except where a refund is required by applicable law or by the policies of Whop, all fees are non-refundable and no refunds or credits will be provided for partial billing periods, unused service, or dissatisfaction with results. Nothing in this section limits any non-waivable rights you may have under the consumer protection laws of your jurisdiction, including the Business Practices and Consumer Protection Act (British Columbia) where it applies.

All information provided through the Service, including listing data, price comparisons, estimated resale values, estimated margins, currency conversions, shipping estimates, and import duty estimates, is provided for general informational purposes only. Such information is derived from third-party sources and automated estimation methods, may be incomplete, delayed, or inaccurate, and may change without notice.

The Service does not constitute, and must not be relied upon as, financial, investment, tax, customs, legal, or other professional advice. We make no representation or warranty that any item can be purchased or resold at any price, that any margin estimate will be realized, or that any listing is authentic, available, or accurately described. Any decision to purchase, import, or resell goods is made solely at your own risk, and you are solely responsible for conducting your own due diligence, including authentication of goods.

Transactions you enter into with any marketplace, seller, proxy purchasing service, freight forwarder, or payment provider are solely between you and that party, and are governed by that party’s terms. We are not a party to, and accept no responsibility for, any such transaction. You are solely responsible for all costs of any purchase you make, including item price, marketplace fees, proxy fees, shipping, insurance, foreign exchange costs, and all applicable customs duties, tariffs, and taxes in your country of import, and for compliance with all applicable import and export laws.

ArchiveScanner is independent. We are not affiliated with, endorsed by, or sponsored by Yahoo! JAPAN, Mercari, Rakuten, Whop, Discord, or any fashion brand or designer referenced in the Service, including without limitation any brand whose listings appear in alerts. All third-party names, marks, and logos are the property of their respective owners and are used solely to identify the goods and services to which they refer.

You must not, and must not permit any third party to:

• resell, republish, redistribute, or make available the Service or any alerts, data, or content delivered through it to any person who is not an authorized subscriber;
• scrape, harvest, or systematically extract data from the Service, or access the Service by any automated means not provided by us;
• reverse engineer, decompile, or otherwise attempt to derive the source code or underlying methods of the Service;
• circumvent, disable, or interfere with any access control, rate limit, or security feature of the Service;
• use the Service in violation of any applicable law or third-party right, or for any fraudulent or deceptive purpose.

We may suspend or terminate access immediately for any breach of this section.

The Service, including its software, design, compilations of data, and branding, is owned by us or our licensors and is protected by intellectual property laws. Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your personal or internal business use. If you provide feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free licence to use them without restriction or compensation.

We do not guarantee that the Service will be uninterrupted, timely, or error-free, or that any particular listing, marketplace, or data source will remain available. Third-party marketplaces may change or restrict access at any time, which may degrade or disable features of the Service. We may modify, suspend, or discontinue all or part of the Service at any time. If we permanently discontinue the paid Service, your sole remedy is a pro-rated refund of prepaid fees for the remainder of your current billing period.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA, OR FOR ANY LOSSES ARISING FROM PURCHASES, FAILED PURCHASES, RESALES, CUSTOMS SEIZURES, DUTIES, OR COUNTERFEIT OR MISDESCRIBED GOODS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; AND (B) OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

You agree to indemnify and hold us harmless from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or relating to your breach of these Terms, your use of the Service, or any transaction you enter into with a third party in connection with information obtained through the Service.

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access to the Service at any time for breach of these Terms, suspected fraud or abuse, or where required by law. Sections of these Terms that by their nature should survive termination, including Sections 7, 8, 9, 11, and 13 through 18, survive termination.

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of laws principles. You irrevocably submit to the exclusive jurisdiction of the courts located in Vancouver, British Columbia for any dispute arising out of or relating to these Terms or the Service, except that either party may seek injunctive relief in any court of competent jurisdiction. If you are a consumer, this section does not deprive you of any mandatory protections or forum rights afforded by the laws of your place of residence.

These Terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding the Service. If any provision of these Terms is held unenforceable, the remaining provisions remain in full force. Our failure to enforce any provision is not a waiver of it. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets. We may update these Terms from time to time by posting the revised version with an updated date; material changes take effect upon posting, and your continued use of the Service after the effective date constitutes acceptance.
